1. Services
Opay provides cross-border collection, central ledger clearing, risk tiers, and Visa Business Card issuing (“Services”) via opay.com.hk, APIs, plugins, and the merchant portal.
We may suspend, modify, or discontinue parts of the Services and will notify merchants when reasonable.
2. Eligibility & accounts
You must provide accurate merchant information and complete KYC/compliance review. We may refuse, suspend, or terminate accounts that fail risk standards.
You are responsible for safeguarding API keys, login credentials, and webhook secrets; losses from leakage or misuse are your responsibility.
3. Funds, risk tiers & cards
Incoming funds are allocated across available, pending, and reserve buckets by Risk Tier (L0–L3). Spendable Balance determines Visa Business Card authorization limits.
Chargebacks, refunds, Stripe account restrictions, or abnormal activity may trigger downgrades, card suspension, debits, and receivable recovery.
You must not use the Services for money laundering, fraud, unauthorized card use, or other illegal activity.
4. Fees
Platform, clearing, and third-party channel fees apply as stated during onboarding, in merchant agreements, or on product pages; we may adjust fees with notice.
5. Intellectual property
Opay branding, software, documentation, and API specifications belong to Opay or its licensors. You may not copy, reverse engineer, or sublicense except as permitted for integration.
6. Disclaimer & liability
Services are provided “as is”. To the extent permitted by law, we are not liable for indirect, incidental, or punitive damages; our aggregate liability is limited to platform fees paid by you in the twelve months before the claim (where applicable).
Outages or chargeback outcomes from payment networks, issuers, or partners are not fully within Opay’s control.
7. Termination
You may stop using the Services; we may terminate or freeze accounts for breach, compliance, or risk reasons. Receivables, chargebacks, and compliance obligations survive termination.
8. Governing law & contact
These terms are governed by the laws of the Hong Kong SAR unless otherwise agreed in writing.
